Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the AkshaVeda Tech website and the technology, consulting, implementation, support and related services provided by AkshaVeda Tech, the technology division of AkshaVeda Ventures.

By accessing this website, submitting an enquiry, requesting a quotation, engaging our services, approving a proposal, statement of work or quotation, or otherwise using our services, you acknowledge that you have read and understood these Terms and agree to be bound by them to the extent applicable.

Individual projects or services may also be governed by a separate proposal, quotation, statement of work, service agreement, purchase order or other written arrangement. Where such a document contains service-specific terms, those terms will apply to the relevant engagement.

1. Introduction

AkshaVeda Tech provides technology and business technology services to businesses, professionals, organisations and other clients.

Our services may include, depending on the agreed scope:

  • Managed IT Services and IT Support.
  • System, device, network and peripheral configuration.
  • Data backup and recovery services.
  • IT security hardening and related technical services.
  • Cloud and workplace solutions.
  • Microsoft 365, Google Workspace and Zoho Workplace deployment.
  • Email migration and related services.
  • Domain, DNS, hosting and SSL configuration.
  • IT consulting and technology advisory.
  • Technology roadmap and planning.
  • Cloud adoption and technology procurement advisory.
  • ERP, CRM and HRMS selection and rollout guidance.
  • AI readiness, AI adoption and AI productivity services.
  • Business process and workflow automation.
  • Analytics, dashboards and digital transformation advisory.
  • Business website planning, setup and maintenance.
  • IT documentation, policies, SOPs and knowledge resources.
  • Employee IT training, AI awareness and technology adoption training.

2. Acceptance of Terms

These Terms apply to the use of the AkshaVeda Tech website and, where applicable, to services provided by us.

A client may accept these Terms by engaging our services, approving a quotation or proposal, signing a service agreement, issuing a purchase order, providing written or electronic approval, or otherwise instructing us to commence work.

If a separate written agreement applies to a particular engagement, that agreement may contain additional or service-specific terms.

3. Scope of Services

Services will be provided according to the scope agreed between AkshaVeda Tech and the client.

The description of a service on our website is intended to provide general information and does not by itself constitute a commitment to provide every feature, deliverable or activity described.

The specific deliverables, assumptions, timelines, dependencies, service levels, fees and exclusions applicable to an engagement may be specified in a proposal, quotation, statement of work or other written communication.

4. Proposals, Quotations and Estimates

Quotations, proposals and estimates are prepared based on the information available to us at the time of preparation.

Unless expressly stated otherwise, a quotation does not include third-party software, licences, subscriptions, hardware, hosting, domain registration, cloud charges, taxes, government charges or other external costs unless specifically included.

Where a quotation has an expiry date, the quoted pricing and availability may not remain valid after that date.

Material changes in requirements, scope, technical conditions, third-party pricing or project assumptions may require a revised quotation.

5. Client Responsibilities

The client is responsible for:

  • Providing accurate and complete information required for the service.
  • Providing timely access to systems, accounts, devices and personnel where required.
  • Providing appropriate authorisation for AkshaVeda Tech to access client systems.
  • Ensuring that the client has the necessary rights to data, software and systems supplied to us.
  • Maintaining appropriate licences and subscriptions unless procurement is included in the agreed scope.
  • Maintaining business continuity arrangements appropriate to its operations.
  • Reviewing and approving deliverables within a reasonable period.
  • Notifying us of known technical restrictions, security requirements or sensitive environments.
  • Maintaining appropriate administrative and user credentials unless credential management is specifically included.

Delays caused by unavailable systems, missing information, unavailable personnel, delayed approvals, third-party providers or other client dependencies may affect project timelines.

6. Authorised System and Account Access

Certain services require AkshaVeda Tech to access client computers, devices, servers, networks, cloud platforms, email accounts, websites, hosting accounts, domain accounts, business applications or other technology environments.

The client authorises such access only for the purposes reasonably necessary to perform the agreed services.

Access may include administrative privileges where technically necessary. The client should provide the minimum level of access reasonably required for the work wherever practical.

The client remains responsible for ensuring that it has the authority to grant such access and that the access does not violate any third-party agreement, employment arrangement, licence or other legal obligation.

7. Credentials and Security

Where credentials, API keys, administrator access, remote access tools or other authentication information are required, the client must provide them through reasonably appropriate channels.

Clients should not send passwords or sensitive authentication information through insecure or publicly accessible channels.

Unless credential management is expressly included within the service, the client remains responsible for maintaining, changing and securing its credentials after completion of the relevant work.

AkshaVeda Tech may recommend changes to passwords, permissions, authentication methods or security configurations where reasonably necessary to improve security.

8. Managed IT Services and Technical Support

Managed IT Services, IT Troubleshooting, Technical Support, System & Device Setup, System Performance Optimisation, Network & Peripheral Configuration and related services are provided according to the agreed scope.

Technical support may involve diagnosis, configuration, troubleshooting, software installation, system changes, device changes, network changes or other technical actions.

Although reasonable care will be taken, technical work may occasionally result in unexpected system behaviour, downtime, configuration changes, compatibility issues or the need for additional work.

Clients are responsible for maintaining appropriate backups and business continuity arrangements unless backup and recovery services have specifically been included in the engagement.

9. Cloud and Workplace Services

Cloud & Workplace Solutions may include Microsoft 365, Google Workspace, Zoho Workplace, cloud storage, email migration, domain configuration, user management and related services.

Third-party cloud platforms are operated independently by their respective providers. AkshaVeda Tech does not control their availability, pricing, policies, infrastructure, security architecture or service continuity.

Any third-party subscription, licence or service remains subject to the provider's applicable terms and conditions.

10. Email Migration and Data Migration

Email migration and data migration services may require access to mailboxes, messages, attachments, contacts, calendars, folders, files, user accounts and associated metadata.

The client is responsible for identifying the source and destination systems, confirming the data to be migrated, providing required permissions and ensuring that the migration is legally and operationally authorised.

Migration results may be affected by limitations imposed by source systems, destination systems, APIs, file formats, mailbox sizes, provider policies, network conditions or other technical restrictions.

Unless expressly included in the scope, AkshaVeda Tech does not guarantee that every item of data will migrate identically between different platforms.

11. Backup and Recovery

Where Data Backup & Recovery services are provided, the backup scope, frequency, retention, storage location, monitoring and recovery arrangements will depend on the service selected and the agreed configuration.

No backup system can guarantee recovery of every item of data in every circumstance. Backup success may be affected by connectivity, storage limitations, software failures, corruption, ransomware, configuration errors, third-party systems and other circumstances beyond our control.

Clients should periodically review backup reports and notify us of material changes to systems or data that may affect the agreed backup scope.

Recovery testing may be recommended where appropriate but will only be included if expressly agreed.

12. IT Security Services

IT Security Hardening, security configuration, system security, website security and related advisory services are intended to reduce identified security risks within the agreed scope.

No security service can guarantee that a system will be free from vulnerabilities, malware, cyberattacks, data breaches, unauthorised access or other security incidents.

Security recommendations may depend on the client's ability to implement and maintain appropriate controls, software updates, licences, policies, user behaviour and third-party services.

Unless expressly agreed, AkshaVeda Tech does not provide continuous security monitoring, incident response, penetration testing, forensic investigation or managed security operations merely by providing general IT support or security configuration services.

13. IT Consulting and Technology Advisory

IT Consulting & Technology Advisory services may include IT audits, system assessments, technology roadmaps, cloud adoption strategy, technology procurement advisory, IT cost optimisation and vendor or solution evaluation.

Recommendations are based on information, requirements, assumptions and technical conditions known to us at the time of the engagement.

Advisory recommendations do not constitute a guarantee of financial performance, business results, regulatory approval, security outcomes or suitability for every future technical or commercial circumstance.

The client remains responsible for final business, financial, procurement and technology decisions unless expressly agreed otherwise.

14. AI, Automation and Digital Transformation

AI & Digital Transformation services may include AI readiness assessments, AI adoption strategy, AI productivity solutions, business process automation, workflow automation, analytics, dashboards and digital transformation strategy.

AI systems and third-party AI services may produce inaccurate, incomplete, biased, unexpected or unsuitable outputs.

AI-generated or automated outputs should be reviewed by appropriately authorised personnel before being relied upon for material business, financial, legal, employment, security or other consequential decisions.

AkshaVeda Tech does not guarantee the accuracy, availability, continuity or suitability of third-party AI systems.

Where third-party AI or automation platforms are used, additional terms and data-processing conditions of those providers may apply.

15. Business Website and Digital Presence Services

Business Digital Presence services may include business website planning, website setup and deployment, website maintenance, domain registration assistance, hosting setup and migration, SSL configuration, website security and website performance optimisation.

Website delivery depends on the agreed scope, content, approvals, hosting environment, domain availability, third-party services and technical requirements.

The client is responsible for providing accurate business information, text, images, logos, trademarks and other content and for ensuring that it has the necessary rights to use such materials.

Unless expressly included, ongoing hosting charges, domain renewal charges, premium software, third-party plugins, licences and external platform fees are the client's responsibility.

16. IT Documentation and Training

IT Documentation & Training services may include IT policies, SOP development, IT process documentation, technical documentation, knowledge bases, employee IT training, AI awareness and productivity training, and technology adoption or change management support.

Documentation and training materials are prepared based on the information and requirements supplied by the client and the scope agreed for the engagement.

Unless expressly agreed, documentation does not constitute legal advice, statutory certification, professional audit certification or a guarantee that a client's internal processes comply with every applicable law or regulation.

17. Third-Party Products and Services

AkshaVeda Tech may recommend, configure, procure or assist with third-party software, hardware, cloud services, hosting, domains, email platforms, backup systems, security tools, AI platforms and other technology products.

Third-party products and services remain subject to the applicable provider's terms, licences, warranties, privacy policies, pricing and support arrangements.

AkshaVeda Tech is not responsible for failures, outages, policy changes, discontinuation, price changes, security incidents or other events caused by an independent third-party provider.

Where we act as an implementation or procurement intermediary, our role and responsibility will be limited to the scope expressly agreed with the client.

18. Intellectual Property

Each party retains ownership of intellectual property, materials, software, documentation, trademarks, content and other materials that it owned before the engagement.

Unless otherwise agreed in writing, AkshaVeda Tech retains ownership of its pre-existing tools, templates, frameworks, methodologies, processes, know-how, reusable components and general technical materials.

Client-specific deliverables may be provided to the client for its intended business use subject to payment of all applicable fees and any specific intellectual-property terms agreed in writing.

Third-party software, fonts, images, plugins, libraries, platforms and other third-party materials remain subject to their respective licences.

19. Confidentiality

Each party may receive confidential or commercially sensitive information belonging to the other party during an engagement.

The receiving party should use such information only for the purposes of the relevant engagement and should take reasonable measures to prevent unauthorised disclosure.

Confidentiality obligations do not apply to information that is publicly available without breach, was already lawfully known, is independently developed, or is required to be disclosed by law or lawful authority.

Where an engagement requires enhanced confidentiality, non-disclosure obligations may be documented separately.

20. Fees, Invoicing and Payment

Fees for services will be specified in the applicable quotation, proposal, invoice, statement of work or other agreed document.

Unless otherwise agreed, third-party charges, licences, subscriptions, hardware, hosting, domain registration, software and other external costs are payable by the client.

Applicable taxes, duties or statutory charges, if any, will be handled in accordance with applicable law and the applicable invoicing arrangement.

Where advance payment is required, work may commence only after the applicable advance has been received.

Where an invoice remains unpaid beyond the agreed payment period, AkshaVeda Tech may suspend or limit services after providing reasonable notice, subject to applicable law and the terms of the engagement.

21. Changes, Cancellation and Suspension

Changes to an approved scope may require additional fees, revised timelines or a separate quotation.

If a client requests cancellation after work has commenced, fees may remain payable for work already performed, committed third-party costs and other non-recoverable expenses, subject to the applicable agreement and law.

AkshaVeda Tech may suspend services where necessary due to non-payment, security concerns, unlawful activity, lack of required access, material client breach or circumstances that make continued performance unsafe or impractical.

22. Service Limitations and Disclaimers

Technology services involve inherent technical risks and dependencies. Except where expressly stated in a written agreement, AkshaVeda Tech does not guarantee that services will be uninterrupted, error-free or compatible with every existing system or future technology environment.

We do not guarantee that a particular service will produce a specific commercial, financial, operational, security or technological outcome unless such outcome has been expressly agreed in writing and is reasonably capable of being measured.

Recommendations and advisory services are provided based on the information and circumstances available at the time.

23. Liability

AkshaVeda Tech will exercise reasonable care and skill in providing its services within the agreed scope.

To the extent permitted by applicable law, AkshaVeda Tech will not be responsible for indirect, incidental, special, consequential or remote losses, including loss of profits, loss of business opportunity, loss of anticipated savings, reputational loss or business interruption arising from circumstances outside the agreed scope or beyond our reasonable control.

This does not exclude or restrict liability that cannot lawfully be excluded or restricted under applicable law.

Where a separate written agreement contains an agreed limitation of liability, that provision will apply to the relevant engagement to the extent legally enforceable.

24. Events Beyond Our Reasonable Control

AkshaVeda Tech will not be responsible for delay or failure caused by circumstances reasonably beyond our control, including major internet or telecommunications failures, cloud or hosting outages, third-party service failures, cyber incidents, malware, natural disasters, fire, flood, power failure, government action, civil disturbance, strikes, infrastructure failures or other similar events.

Where reasonably practical, we will communicate material service impacts and work towards restoration or continuation of the affected service.

25. Governing Law and Dispute Resolution

These Terms and the services provided by AkshaVeda Tech are intended to be governed by the applicable laws of India.

The parties will first attempt to resolve any dispute, concern or disagreement through good-faith discussion.

Where a dispute cannot be resolved through discussion, the parties may pursue any remedy or dispute-resolution mechanism available under applicable law.

Subject to applicable law and any separate written agreement, courts having appropriate jurisdiction in Mumbai, Maharashtra may have jurisdiction over disputes arising from these Terms or the relevant services.

26. Changes to These Terms

AkshaVeda Tech may update these Terms from time to time to reflect changes in our services, technology, business practices or applicable legal requirements.

The updated version will be published on this page with a revised "Last Updated" date.

For an existing project or service engagement, any service-specific contractual terms already agreed in writing will continue to apply according to their terms.
